Proxy Sales and Service Agreement
This service agreement is a valid contract between JProxy (including but not limited to JProxy) and you regarding the proxy service you purchased. You may choose to accept this service agreement by seal, clicking on the website, or other means, including but not limited to using JProxy proxy service without clicking to confirm this service agreement, which means you have reached an agreement and agree to accept all contents of this service agreement. If there is any inconsistency between the text sealed by both parties and the text accepting this service agreement in other ways, the text signed and sealed by both parties shall prevail.<\/p>\n\n\n\n
For this service agreement, we remind you to pay special attention to the limitation and disclaimer clauses, how JProxy identifies and handles your breach or breach of contract clauses, and the governing court clauses. Limitation and disclaimer clauses may be highlighted in bold or underlined to draw your attention. Before accepting this service agreement, please carefully read all the content. If you do not agree with any content of this service agreement or cannot accurately understand JProxy’s interpretation of the terms, please do not continue to use this service agreement. Unless you read and accept all terms of this agreement, you have no right to use this software and related services. Your downloading, installation, use, login and other behaviors are deemed to have read and agreed to be bound by this agreement.<\/p>\n\n\n\n
\u4e00\u3001Service Agreement<\/p>\n\n\n\n
1\u3001The “service” in this agreement refers to the proxy service and related technical and network support services provided by JProxy to you.<\/p>\n\n\n\n
1\u3001The services provided by JProxy to you shall comply with this service agreement.<\/p>\n\n\n\n
\u4e8c\u3001Service Fees<\/p>\n\n\n\n
1\u3001Service fees will be listed on your order page, and you can choose specific service types and pay according to the listed prices.<\/p>\n\n\n\n
2\u3001Payment method: Please refer to the order page announcement for specific fee schedule and payment guidelines, and the effective billing method and standards published on the page shall prevail.<\/p>\n\n\n\n
3\u3001JProxy has the right not to provide services and\/or technical support to you, or terminate the provision of services and\/or technical support, until you pay all fees as agreed, and JProxy reserves the right to pursue legal liability for post-paid service arrears.<\/p>\n\n\n\n
\u4e09\u3001Rights and Obligations<\/p>\n\n\n\n
1\u3001You agree to comply with this service agreement and the relevant management specifications and procedures shown on the service page. You understand that these terms and specifications may change at any time. If you do not agree with the relevant terms of JProxy in this service agreement, you have the right to stop using JProxy proxy service. If you continue to use JProxy proxy service, you are deemed to accept the changes made by JProxy to this service agreement.<\/p>\n\n\n\n
2\u3001You should pay the corresponding service fees according to the JProxy page prompts and the provisions of this service agreement.<\/p>\n\n\n\n
3\u3001You promise that without the written consent of JProxy, you shall not use JProxy proxy service for purposes other than cross-border e-commerce store management, and when using your proxy service:<\/p>\n\n\n\n
\uff081\uff09\u3001You shall not engage in any behavior that destroys or attempts to destroy network security (including but not limited to phishing, hacking, network fraud, websites or spaces containing or suspected of spreading viruses, trojans, malicious code, and scanning, sniffing, ARP spoofing, DDOS and other suspected attack behaviors on other websites and servers through virtual hosts);<\/p>\n\n\n\n
\uff082\uff09\u3001You should not modify or attempt to modify the system configuration provided by JProxy or destroy system security and network security without authorization;<\/p>\n\n\n\n
\uff083\uff09\u3001You shall not modify, translate, adapt, rent, sublicense, distribute or transfer the software or services provided by JProxy on the Internet. You shall not reverse engineer, decompile or attempt to discover its source code in other ways;<\/p>\n\n\n\n
\uff084\uff09\u3001Without the prior written consent of JProxy, you shall not copy, distribute, transfer, license or provide JProxy proxy services;<\/p>\n\n\n\n
\uff085\uff09\u3001Email advertising and spam are prohibited: Do not use JProxy proxy service to distribute large amounts of unsolicited or unwanted emails, electronic advertisements or emails containing reactionary, pornographic and other harmful information;<\/p>\n\n\n\n
4\u3001You shall not use JProxy’s resources and services to upload, download, store, publish the following information\/content, nor provide any convenience for others to publish such information (including but not limited to setting URL, BANNER links, etc.):<\/p>\n\n\n\n
\uff081\uff09\u3001Political propaganda and\/or news information that violates national regulations;<\/p>\n\n\n\n
\uff082\uff09\u3001Political propaganda and\/or news information involving state secrets;<\/p>\n\n\n\n
\uff083\uff09\u3001Feudal superstition and\/or obscene, pornographic, vulgar information or information that instigates crimes;<\/p>\n\n\n\n
\uff084\uff09\u3001Gambling, bingo games, “private servers”, “plug-ins” and other illegal Internet publishing activities;<\/p>\n\n\n\n
\uff085\uff09\u3001Information that violates national and religious policies;<\/p>\n\n\n\n
\uff086\uff09\u3001Information that interferes with network security operation;<\/p>\n\n\n\n
\uff087\uff09\u3001Information that infringes upon the legitimate rights and interests of others and\/or damages social order, social security, and public morals;<\/p>\n\n\n\n
\uff088\uff09\u3001Other content that violates laws, regulations, departmental rules or national policies.<\/p>\n\n\n\n
5\u3001You shall not use the proxy service in any way or for any purpose that violates national or local laws and regulations, industry practices, social public morals, or in any way or for any purpose that affects or damages, or may affect or damage the interests of JProxy.<\/p>\n\n\n\n
6\u3001You shall comply with all applicable laws and regulations during the use of this agreement, and shall not have any behavior that violates laws, the terms of this agreement or the legitimate rights of third parties; you shall be legally responsible for all behaviors under your account.<\/p>\n\n\n\n
7\u3001If you violate any terms of this agreement, JProxy user agreement, applicable laws, regulations or have any third-party infringement complaints, and you have no contrary evidence, then upon written notice from JProxy, JProxy has the right to restrict, block your account in JProxy, and suspend or terminate the use of part or all service functions, and has the right to require Party B to compensate for the economic losses caused to JProxy.<\/p>\n\n\n\n
8\u3001If JProxy discovers that you violate the above provisions, it has the right to take corresponding measures, including but not limited to immediately terminating the service, suspending the service, deleting corresponding information, etc. If a third-party organization or individual raises objections or complaints against you, JProxy will notify you, and you have the responsibility to explain and provide evidence within the specified time. If you fail to provide contrary evidence or fail to respond in time, JProxy will have the right to restrict, seal your account in JProxy, and suspend or terminate the use of part or all service functions, and require you to compensate JProxy for all economic losses suffered as a result. If we are unable to contact you due to invalid or incorrect contact information, it will be deemed that you have not responded in time.<\/p>\n\n\n\n
9\u3001You expressly know, understand and agree that JProxy products and proxy services do not provide VPN services in any form, nor do they support any illegal access to overseas Internet resources through proxy servers. You should use the international network access channels provided by the public telecommunications network of the People’s Republic of China in accordance with the provisions of the “Interim Provisions of the Peoples Republic of China on the Administration of International Networking of Computer Information Networks”.<\/p>\n\n\n\n
10\u3001You clearly understand and agree that this product is only a tool software focused on e-commerce marketing, and the users behavior through this product does not represent the wishes, views and positions of this product. It is prohibited to use the services provided by this product for any illegal activities.<\/p>\n\n\n\n
11\u3001The resources you purchase from JProxy, including but not limited to Proxy, are only allowed to be used on JProxy products and services, and shall not be used for other purposes, shall not use resources to conduct any behavior that damages the legitimate rights and interests of others, and shall not use resources to conduct illegal criminal activities.<\/p>\n\n\n\n
12\u3001Our service aims to provide users with stable, secure, and efficient proxy network access capabilities, and we are committed to ensuring service quality within the limits of available resources. Users shall utilize the service reasonably and shall not exceed reasonable usage, compromise service stability, or infringe upon the rights of others. Specific abusive behaviors include, but are not limited to, a single user or process persistently or frequently occupying excessively high connection counts, establishing a large number of short-lived connections through abnormal means, maintaining unusually long-lived connections, or exploiting protocol vulnerabilities to exhaust resources. In the event of abusive behavior, we reserve the right to take measures, including suspension of service, based on the severity of the violation.<\/p>\n\n\n\n
\u56db\u3001Confidentiality Clause<\/p>\n\n\n\n
1\u3001Confidential information refers to all technical or non-technical information disclosed by one party to the other. Confidential data includes but is not limited to product information, product planning, prices, financial and marketing plans, business strategies, customer information, customer data, research data, software, hardware, application interfaces, technical descriptions, designs, formulas and algorithms.<\/p>\n\n\n\n
2\u3001All parties to this service agreement agree to keep the received confidential information confidential and ensure that their employees who have access to such confidential information comply with the confidentiality obligations stipulated in this clause. Unless the above confidential information has been disclosed to the public, the party receiving the confidential information shall not disclose such confidential information to any third party.<\/p>\n\n\n\n
3\u3001Both parties to this agreement agree that confidential materials are key confidential information of both parties to this agreement and are important assets of their owners. Both parties agree to make their best efforts to protect the above confidential materials from being leaked. Both parties shall take all reasonable measures to avoid or reduce such damage.<\/p>\n\n\n\n
4\u3001This clause shall remain valid even after the termination of this agreement.<\/p>\n\n\n\n
\u4e94\u3001Term and Termination<\/p>\n\n\n\n
1\u3001From the date you agree to this agreement and subscribe to the services under this agreement, you have the right to use JProxy Proxy service.<\/p>\n\n\n\n
2\u3001You should maintain sufficient account balance to ensure the continuous provision of services. If you fail to pay on time, JProxy has the right to terminate the services provided to you under this agreement.<\/p>\n\n\n\n
3\u3001This service agreement terminates in the following circumstances:<\/p>\n\n\n\n
\uff081\uff09\u3001Both parties agree to terminate this agreement in advance.<\/p>\n\n\n\n
\uff082\uff09\u3001If you seriously violate the obligations under this service agreement (including but not limited to a. you fail to pay according to this agreement, and\/or b. you violate laws and relevant regulations, and\/or c. you violate this agreement), JProxy has the right to suspend or terminate the services provided to you, and has the right to terminate this service agreement in advance. If you still have overdue payments, you still have the obligation to continue payment.<\/p>\n\n\n\n
\uff083\uff09\u3001You fully understand and acknowledge that although JProxy has established (and will continue to update with the development of technology) necessary technologies to prevent threats to Internet security (hereinafter referred to as “behaviors”), including computer viruses, network intrusion, attacks, destruction (including but not limited to DDOS), etc., when the above behaviors cause harm to JProxy or JProxy’s other networks or servers, or affect the connection between JProxy and the Internet, between JProxy and specific networks, servers and their internal connections, JProxy has the right to suspend or terminate services to you. If the service is terminated, the service fee will be calculated according to the actual service amount provided. If you have overdue payments, you should still pay on time.<\/p>\n\n\n\n
\u516d\u3001Liability for Breach<\/p>\n\n\n\n
1\u3001The use of JProxy proxy service and any other JProxy software and services shall comply with the laws and regulations of the People’s Republic of China and this service agreement.<\/p>\n\n\n\n
2\u3001You understand that, given the special nature of computers and the Internet, the following circumstances shall not be considered as JProxy’s breach of contract.<\/p>\n\n\n\n
\uff081\uff09\u3001JProxy will suspend services during service maintenance and updates.<\/p>\n\n\n\n
\uff082\uff09\u3001Network access speed may be reduced due to network congestion.<\/p>\n\n\n\n
3\u3001You understand that, given the special nature of computers and the Internet, the following circumstances shall not be considered as JProxy’s breach of contract, and JProxy shall not be liable for any indirect, consequential, punitive, incidental and special damages, including profit losses you suffer while using JProxy services, even if you have been informed of the possibility of such losses.<\/p>\n\n\n\n
4\u3001For losses exceeding the total service fee caused by violation of this service agreement, JProxy shall not bear any responsibility.<\/p>\n\n\n\n
\u4e03\u3001Force Majeure<\/p>\n\n\n\n
1\u3001Neither party shall be liable for force majeure or any other accidental events that make the performance of these terms of service impossible, unnecessary or meaningless.<\/p>\n\n\n\n
2\u3001Force majeure and accidental events refer to unforeseeable, insurmountable and unavoidable events that have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, epidemics, as well as social events such as war, unrest, state actions, telecommunications line interruption, hacker attacks, network congestion, technical adjustments by telecommunications departments, and government regulations.<\/p>\n\n\n\n
\u516b\u3001Applicable Law and Dispute Resolution<\/p>\n\n\n\n
1\u3001This service agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles that would require the application of any other law.<\/p>\n\n\n\n
2\u3001Any dispute, controversy, difference or claim arising out of or relating to this service agreement, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of three arbitrators. The language of the arbitration shall be English.<\/p>\n\n\n\n
\u4e5d\u3001Others<\/p>\n\n\n\n
1\u3001JProxy built-in pages and any service descriptions, price descriptions and order pages you confirm and accept on the website https:\/\/jwdbox.com are integral parts of this service agreement. If there is any inconsistency between this service agreement and any service description, price description and order pages you confirm and accept on https:\/\/jwdbox.com, this service agreement shall prevail.<\/p>\n\n\n\n
2\u3001If there is any inconsistency between this agreement and JProxy Policy-Terms of Service, this service agreement shall prevail.<\/p>\n\n\n\n
3\u3001JProxy has the right to transfer all or part of its rights and obligations under this service agreement to any affiliated company of JProxy by disclosing on https:\/\/jwdbox.com, website posts or written notice.<\/p>\n\n\n\n
4\u3001If any provision of this service agreement, considering its uniqueness or other aspects, is deemed valid after the termination of this agreement, such provisions shall continue to exist and be valid, including but not limited to warranty provisions, confidentiality provisions, intellectual property provisions, and provisions related to applicable law and dispute resolution.<\/p>\n\n\n\n
